Directors Hans Snook, Non-Executive Chairman
With effect from 1 May 2002, Hans Snook joins the company as non-executive Chairman. Hans Snook was the founder Chief Executive of Orange. He articulated the vision of the "wirefree future", which has driven the branding, strategy and operation of Orange. Under Hans' leadership Orange launched on 28 April 1994 and had a profound impact on the mobile market both in the UK and globally. In March 1996, Orange listed on the London and Nasdaq exchanges, in June that year becoming the youngest ever company to enter the FTSE 100. Following the agreed acquisition of Orange by Mannesmann at the end of 1999, Mannesmann was acquired by Vodafone early in 2000 and, on 30 May 2000, the agreed acquisition of Orange by France Telecom was announced. Hans continued as Chief Executive of the enlarged Orange Group, leading it to flotation in February last year, at which point he became Special Advisor to the Group, a role from which he stepped down at the end of last year. |

Charles Dunstone, Chief Executive Officer
Charles founded The Carphone Warehouse in 1989 and is now Chief Executive Officer. Prior to 1989, he worked for NEC for four years as a sales manager before leaving to set up The Carphone Warehouse. He is responsible for Group marketing, sales and customer care with general responsibility for all aspects of UK operations. Together with David Ross, he is responsible for new business development and strategic initiatives. Non-executive and director of The Halifax Group PLC, he is also Chairman of The Princes Trust Trading Board and a member of its council, and most recently non-executive director of the Daily Mail and General Trust PLC.   |

David Ross, ACA, Chief Operating Officer
David has been Chief Operating Officer of The Carphone Warehouse since 1990. Prior to joining the Group he qualified as a chartered accountant with Arthur Andersen. He is responsible for all aspects of European development and together with Charles Dunstone is responsible for new business development and strategic initiatives. Non-executive Director of National Express Group PLC, ITIS Holdings PLC, Intrinsic Value PLC, Big Yellow Group PLC and a member of the Institute of Directors and the English Sports Council.

Roger Taylor, ACA, Chief Financial Officer
Roger joined the Group as Chief Financial Officer in January 2000. Prior to this he was Corporate Finance Partner for accountancy firm BDO Stoy Hayward from 1984. Roger is responsible for controlling Group finance functions at the support centre and the financial reporting and procedures of the individual European finance teams. He also manages the Group corporate finance function and has a direct involvement in strategic investment decisions and the appraisal process.

Geoffroy Roux de Bezieux, ESSEC (MBA), Chief Operating Officer, Europe
Geoffroy joined the Group in 1996. Prior to being Managing Director of Southern European Operations he established and developed The Phone House business in France. Before joining The Phone House, he was an officer in the French Navy, UK Marketing Director for L’Oreal and Managing Director of their Polish operations between 1994 and 1996.

James Dale, FCA, Executive Chairman of Carphone Warehouse Insurance
James joined the Board as an Executive Director on the 30th March 2001. He joined the Group in January 1997 and is Executive Chairman of Carphone Warehouse Insurance, responsible for management of the Group’s insurance operations.

Sir Brian Pitman, Non-Executive Director
Sir Brian Pitman joined the board as Non-Executive Director of The Carphone Warehouse on 17 January 2001. Sir Brian is currently Chairman of Next Group PLC and retired as Chairman of Lloyds TSB Group PLC in April 2001. He is also Non-Executive Director of Carlton Communications PLC and Tomkins Group PLC.

Des Wilson, Non-Executive Director
Des joined the board in June 2000, as an independent Non-Executive Director. He has since become Chairman of the Group's Charitable Activities Committee. He retired on 30 June 2000 from BAA PLC where he was Director of Corporate and Public Affairs; he is remains a consultant to the company. He is also a board member of the British Tourist Authority, Senior Vice Chairman of the English Sports Council and a board member of the UK Sports Council. He also holds a Non-Executive position with Ingenious Media PLC.

John Gildersleeve, Non-Executive Director
John joined the board in June 2000, as an independent Non-Executive Director. He is currently an Executive Director of Tesco PLC and a Non-Executive Director of Gallaher PLC. Prior to this, was a Non-Executive Director of Lloyds TSB Bank PLC from 1994 to 1997 and Vodafone PLC from 1998 to 2000.

Adrian Martin, Non-Executive Director
Adrian joined the board as an independent Non-Executive Director on 30 November 2000. He joined from UK accountancy firm BDO Stoy Hayward, where he was UK Managing Partner and Chairman of its International Policy Board. He remains a consultant to BDO Stoy Hayward.

Max Alexander, Managing Director of MViva and Group Data Services Director
Max joined the Group in November 1999. Prior to joining he was Head of Internet Distribution for BSkyB before joining EPartners, a joint venture between News Corp and Softbank. He is currently responsible for the MViva, the Group's Wireless Internet Portal, and the Group's Data Services division.

Richard Collier, Group Property Director
Richard joined the Group in October 1999. Prior to joining The Carphone Warehouse he worked for 12 years as Property Service Director for Sears Group Properties Limited, the property management development arm of Sears plc. He had previously been employed by Thorn EMI, Land Securities and Dixons Stores Group. He is responsible for developing property strategy to enable the Group to meet its expansion plans.

Andrew Harrison, Chief Executive Officer, Carphone Warehouse UK
Andrew joined the Group in July 1995. Prior to joining The Carphone Warehouse, he worked for Bridgewater Consultancy from 1992. In October 1998 Andrew became Commercial Director for the UK, responsible for relationships with the four network operators, the company’s customer proposition, development of the telecoms services division and new business development. Andrew was appointed Chief Executive Officer of The Carphone Warehouse Ltd in July 2001. He now manages all UK trading operations including retail, on-line, purchasing, logistics, repairs, marketing, and customer services.

Jonathan Hook, UK Sales and Marketing Director
Jonathan joined the Group in 1995. Prior to his currrent role, Jonathan held various positions within the Group, including Divisonal and Area management roles, following a period working for Oddbins. He is responsible for in-store marketing, advertising,brand development and sales within the UK.

Tony Jeffery, Group Purchasing Co-ordinator
Tony has worked in the mobile industry since 1983. Before joining The Carphone Warehouse he worked several leading airtime providers and for Nokia as a Major Account Manager. In 1989 Tony was involved in the set-up of BCS Telecom providing products and repairs services. In 1995 Tony joined The Carphone Warehouse. Prior to his current role, Tony was responsible for the Wholesale and Secondary Supply Channel and in 1998 he became involved with the company's expansion into Europe. He is currently responsible for the co-ordination of Group Purchasing.

Nigel Langstaff, ACA, Group Financial Controller
Nigel joined the Group in January 1997. Prior to joining The Carphone Warehouse, he qualified as a chartered accountant with Arthur Andersen where he worked until 1996. He is responsible for Group financial reporting and accounting, business planning and analysis and Group treasury management.

Stephen Mackarel, Director of Irish & Eastern European Operations
Stephen Mackarel joined the group in June 1999. Prior to joining Carphone Warehouse, he was Head of Retail at Eircell Vodafone in Ireland and prior to that National Agent Sales Manage with Eircell. Prior to that he held various positions in Retail, Sales and Marketing with Esso Ireland Limited. He is currently responsible for all operations in Ireland, Northern Ireland, Czech Republic and Poland.

Frank McHugh, Chief Operating Officer, Carphone Warehouse UK
Frank joined the Group in November 1999 after its acquisition of Tandy. He is responsible for the financial control, reporting and planning of the Group’s UK operations.

Ed Moore, Chief Technical Officer
Ed joined The Carphone Warehouse in 1999. Before joining the Group, he ran the European Technical System's group for 3Com Europe and prior to that he held management positions at SmithKline Beecham, Union Bank of Switzerland and the Bank of England. Before his current role, Ed was a Principal in CPW's Wireless Internet Portfolio venture fund and before this CPW's IT Strategist. He is currently responsible for exploring new mobile technology and developments, identifying new opportunities and driving these into retail. Ed also represents the Group at the Frontiers Capital venture fund, advising on new investments in wireless focussed companies and portfolio development.

Tim Morris, Solicitor, Group Company Secretary
Tim joined the Group in May 2000. Prior to joining he was an associate partner with DLA Solicitors. He is responsible for commercial legal issues.

Chris Murton, Online Business Director, UK
Chris joined the Group in 1993 direct from Southampton University, where he read Law. Prior to his current role, Chris was an Area Manager, Head of UK Customer Services and Head of Direct Sales. He is currently responsible for developing business through alternative channels - the Internet, direct sales, interactive TV and strategic partnerships.

Tim O’Gorman, Group Corporate Counsel
Tim joined the Group in December 1999. Prior to joining, he was a company and commercial solicitor with Ashurst Morris Crisp. He is responsible for Group corporate legal issues including mergers and aquisitions, investments and securities law matters.

Andrew Pinnington, Chief Executive Officer of CPW Services UK
Andrew joined the Group in 1999. Prior to joining The Carphone Warehouse he worked in North America for Frito-Lay, the snack foods division of Pepsi for 5 years. He is currently responsible for the performance and operations of the Carphone Warehouse Telecoms Services division in the UK.

Andrew Sherwood, Human Resources Director UK
Andrew joined the Group in June 1995. Prior to joining The Carphone Warehouse he worked for Barclays Bank. He has held a wide range of positions within the Group including Branch, Area, Divisional and Country management roles. Andrew became Head of Human Resources (UK) in July 2000, based in the UK Support Centre in Acton, London. In April 2001 he was made Director of Human Resources (UK) with responsibility for the HR function and operations throughout The Carphone Warehouse in the UK. |

Matthew Smith, UK Purchasing Director
Matthew joined the Group in March 1998. Prior to joining The Carphone Warehouse he worked for Vodafone Connect as Purchasing Manager for two years. Before that he was the Purchasing Manager at People's Phone for two years. He is currently responsible for managing all supplier relations, product selection, purchasing and stock control for the UK operation. . |

George Steur, Director of Northern European Operations
George joined the Group in May 1999. Prior to joining The Carphone Warehouse, he was Managing Director of Olivetti Computers for the Benelux and Nordic countries from 1997 to 1999. His responsibilities include managing relationships with mobile network operators and mobile phone manufacturers and developing strategic initiatives.

Richard joined the Group in July 1991. Prior to joining The Carphone Warehouse he worked for Coopers & Lybrand. He is responsible for performance and operations of all the Group's European stores.

Nick Willcox, UK Finance Director
Nick joined the Group in June 1997. Prior to joining The Carphone Warehouse he worked for Arthur Andersen. Before his current role he was UK Financial Controller and UK Reporting and Planning Manager. He is currently responsible for the UK Finance Department - analysing company performance, planning, supplier payments, financial relations with UK networks, accounts receivable and bank, auditor and taxman relations, UK Loss Prevention department, cost control and financial performance of Carphone Warehouse UK.
